Welcome to Rielzz. By accessing or using our service, you agree to be bound by these Terms of Service and our Privacy Policy. Please read these terms carefully before using our service.

1. Acceptance of Terms

These Terms of Service constitute a legally binding agreement between you and nemo.ai inc. ("Nemo.ai," "we," "us," or "our") governing your use of Rielzz, an AI-powered video reel generation service for e-commerce merchants.

2. The Rielzz Service

Rielzz is a cloud-based service that provides AI-powered video reel generation capabilities for e-commerce platforms. The service:

• Transforms product information into engaging video reels using artificial intelligence
• Offers multiple professional video styles optimized for social media
• Supports multiple e-commerce platforms including Shopify, WooCommerce, BigCommerce, and Amazon
• Enables publishing to TikTok, Instagram, and YouTube
• May be modified, updated, or discontinued without prior notice

3. Eligibility

You must be at least 13 years old to use Rielzz. By using our service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms of Service.

4. User Responsibilities

As a user of Rielzz, you are responsible for:

• The content and accuracy of product information you provide to the service
• Ensuring you have the necessary rights to use and transform product images and descriptions
• Complying with all applicable local, state, national, and international laws
• Complying with the terms of service of social media platforms (TikTok, Instagram, YouTube) where you publish content
• Obtaining appropriate consent from customers for data handling as required by law
• Maintaining the security of your account credentials
• All activities that occur under your account

5. Acceptable Use

You agree not to:

• Upload content containing illegal, harmful, or inappropriate material
• Use the service to infringe on intellectual property rights of others
• Generate video content that violates social media platform guidelines
• Attempt to reverse engineer, decompile, or extract the AI models or algorithms
• Use the service in any way that could damage, disable, or impair our servers
• Resell or redistribute the service without explicit written permission
• Generate spam, misleading, or deceptive video content

6. Information Collection and Privacy

Our servers collect and process information automatically when you use Rielzz. This includes product URLs, product information, store data, and usage data. All data collection and processing is subject to our separate Privacy Policy. By using Rielzz, you consent to such collection and processing.

Data may be stored and processed in the United States and other jurisdictions where we or our service providers operate.

7. Fees and Payment

Rielzz operates on a subscription-based pricing model:

• We offer a free trial period with limited video generations
• Paid subscriptions provide monthly video generation allowances
• Video allowances reset at the beginning of each billing cycle
• Fees are charged in advance and are non-refundable except at our sole discretion
• We reserve the right to modify pricing with 30 days' notice

8. Intellectual Property

You retain ownership of the original product information and images you provide. Generated videos created through Rielzz are subject to the following:

• You receive a non-exclusive, worldwide license to use generated videos for commercial purposes
• Nemo.ai retains the right to use generated videos for service improvement and marketing purposes
• The Rielzz name, logo, and all related trademarks are property of nemo.ai inc.
• You are responsible for complying with music licensing and third-party content requirements when publishing videos

9. Social Media Platform Integration

Rielzz integrates with TikTok, Instagram, and YouTube. You acknowledge that:

• You are responsible for complying with each platform's terms of service and community guidelines
• We are not responsible for changes to social media platforms that may affect Rielzz functionality
• Video publishing features depend on third-party APIs and may be interrupted or discontinued
• Content moderation and removal decisions by social platforms are beyond our control

10. Warranty Disclaimer

RIELZZ IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that:

• The service will be uninterrupted or error-free
• Generated videos will meet your specific expectations or perform well on social media
• Any errors or defects will be corrected
• The service will be available at any particular time or location
• Generated videos will comply with all social media platform requirements

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEMO.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising from your use of Rielzz shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless nemo.ai inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of Rielzz
• Your violation of these Terms of Service
• Your violation of any rights of another party
• Content you upload or videos generated through the service
• Your violation of social media platform terms of service

13. Termination

Either party may terminate this agreement at any time:

• You may cancel your subscription through your account settings or by contacting support
• We may suspend or terminate your access for violations of these terms
• Upon termination, your right to use Rielzz immediately ceases
• Provisions regarding intellectual property, disclaimers, and limitations of liability survive termination

14. Modifications to Service and Terms

We reserve the right to modify or discontinue Rielzz, temporarily or permanently, with or without notice. We may also modify these Terms of Service at any time. Continued use of the service after changes constitutes acceptance of the modified terms.

15. Governing Law and Dispute Resolution

These Terms of Service are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes arising from these terms or your use of Rielzz shall be resolved through binding arbitration in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.

17. Entire Agreement
